Resolutions detail formal decisions made by the Board of Directors. Such decisions are often formalized in Board Meetings then recorded in the minutes (rather than a formal Resolution) but there are several circumstances in which a Formal Resolution is more appropriate. For instance, should the need for a pressing decision between meetings present itself and little discussion is required to move forward, the Board may opt to sign a Resolution to which all Directors agree. Other Resolutions outline certain procedural tasks that require a Board Resolution; an example is a Reserve Expense Resolution, which authorizes the Management Company to write a check from the Association's reserve account for a specific purpose. Procedural Resolutions are often signed at the next suitable meeting in order for the Association to comply with record keeping standards.
The content of each Resolution reflects the need (issue the Board is attempting to resolve), authority (citation of the governing document(s) or statute(s) detailing the Board's authority to take such action) and a detailed outline of the action to be taken.
